End user license agreement

Agreement

This End User License Agreement ("EULA") is between Underdog Unlimited LLC ("Licensor," "we," "us," or "our") and you ("Licensee" or "you"). It governs your use of our web-based client portal, administrative tools, and related application software (the "Software") accessed through our website.

By creating an account, signing in, or using the Software, you agree to this EULA. If you do not agree, do not use the Software.

License grant

Subject to your compliance with this EULA and our Terms of Service, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your internal business purposes in connection with services provided by or through us.

This license does not include the right to sublicense, resell, host for third parties, or use the Software to build a competing product.

Restrictions

You may not:

• Copy, modify, or create derivative works of the Software except as permitted by law.
• Reverse engineer, decompile, or attempt to extract source code except where prohibited restrictions are unenforceable.
• Remove proprietary notices or security features.
• Use the Software in violation of applicable law or third-party rights.
• Share account credentials or allow unauthorized users to access the Software.

QuickBooks integration

The Software may connect to QuickBooks Online through Intuit’s APIs when authorized by an administrator. Intuit is not a party to this EULA and does not provide warranties or support for the Software.

We do not guarantee uninterrupted availability of QuickBooks or that invoice, customer, or payment data will always be accurate or complete. You are responsible for verifying financial information with your accounting records.

Updates and support

We may provide updates, patches, or new features at our discretion. Support for the Software is provided as described in any separate service agreement or, for account access issues, by contacting us at the email below.

Ownership

We and our licensors retain all right, title, and interest in the Software, including all intellectual property rights. No rights are granted except as expressly stated in this EULA.

You retain ownership of data you submit through the Software, subject to our Privacy Policy and the licenses needed for us to operate the Service.

Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SOFTWARE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SOFTWARE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US FOR ACCESS TO THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Termination

This EULA is effective until terminated. We may terminate your license immediately if you breach this EULA or our Terms of Service. Upon termination, you must stop using the Software. Provisions that should survive termination will survive.

Export compliance

You agree to comply with applicable export control and sanctions laws and not use the Software in prohibited jurisdictions or for prohibited end uses.

Changes

We may update this EULA by posting a revised version on our website. Continued use of the Software after changes become effective constitutes acceptance.
