Agreement

These Terms of Service ("Terms") are a binding agreement between you and Underdog Unlimited LLC ("we," "us," or "our"). By accessing or using our website, client portal, or related services (collectively, the "Service"), you agree to these Terms, our Privacy Policy, and our End User License Agreement.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

The Service

Underdog Unlimited LLC provides technology consulting, support, and related online tools, including a client account area that may display billing information from QuickBooks Online when enabled for your account.

We may modify, suspend, or discontinue any part of the Service at any time. Features may change without notice.

Accounts

Some features require an account. You must provide accurate registration information and keep your credentials confidential. You are responsible for activity under your account.

We may suspend or terminate accounts that violate these Terms, pose security risks, or remain inactive for extended periods.

Acceptable use

You agree not to:

• Use the Service for unlawful, fraudulent, or abusive purposes.
• Attempt to gain unauthorized access to systems, accounts, or data.
• Interfere with or disrupt the Service or its security measures.
• Scrape, reverse engineer, or copy the Service except as permitted by law.
• Upload malware or content that infringes others’ rights.

Consulting and professional services

Separate written agreements may govern paid consulting, support, or development work. If there is a conflict between those agreements and these Terms regarding professional services, the separate agreement controls.

Third-party services

The Service may integrate with or link to third-party services, including QuickBooks Online and payment providers. We do not control third-party services and are not responsible for their availability, content, or practices. Your use of third-party services is subject to their terms.

Intellectual property

The Service, including its design, software, and content (excluding your data), is owned by Underdog Unlimited LLC or its licensors and protected by intellectual property laws. These Terms do not grant you ownership of our materials.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Indemnification

You will defend and indemnify us against claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Service or violation of these Terms.

Termination

We may terminate or suspend your access at any time for any reason, including violation of these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.

Governing law

These Terms are governed by the laws of the United States and the state in which Underdog Unlimited LLC is organized, without regard to conflict-of-law rules. Disputes will be resolved in the courts located in that state, unless applicable law requires otherwise.

Changes

We may update these Terms by posting a revised version on our website. Material changes will be indicated by updating the date at the top of this page. Continued use after changes become effective constitutes acceptance.
